Our Terms of Service explain your rights and responsibilities while using Peledesk.
These Terms of Service (“Terms”) govern your access to and use of PeleDesk™, a cloud-based project management, collaboration, and productivity platform (the “Platform” or “Services”), operated by Sunetos AI Technologies Inc. (“Sunetos,” “PeleDesk,” “we,” “us,” or “our”).
By accessing, registering for, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization.
1. Purpose and Scope
1.1 Purpose
PeleDesk is designed to help individuals and teams plan, organize, manage, track, and collaborate on work, including projects, tasks, workflows, documentation, reporting, and related activities.
1.2 Scope of Agreement
These Terms govern all access to and use of the Services, including free, trial, paid, beta, and future offerings unless otherwise stated.
2. Account Creation and Eligibility
2.1 Eligibility Requirements
The Services are not intended for individuals under the age of 16. By using the Services, you confirm that you meet this requirement.
2.2 Account Registration
You must provide accurate and complete information when creating an account and keep your information up to date.
2.3 Organizational Accounts
If you register on behalf of an organization, that organization is responsible for all use of the Services under its account.
3. Authorized Access and Use Rights
3.1 Authorized Use
Subject to these Terms and your continued compliance with them, PeleDesk grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for your internal business or personal purposes. This right does not constitute a sale or transfer of ownership and is granted only for the duration of your permitted use of the Services.
3.2 Scope of Access
Your access to the Services is limited to the features, functionality, user limits, storage capacity, and usage thresholds associated with your selected subscription plan, trial, or free offering, as applicable. Access may vary depending on plan level, account configuration, or feature availability.
3.3 Plan Limitations
You agree not to exceed the limits of your subscription plan, including but not limited to:

PeleDesk may restrict, throttle, or suspend access if plan limits are exceeded.
3.4 Account Use Restrictions
You may not share account credentials with unauthorized users, allow access beyond the scope of your subscription, or use the Services in a manner inconsistent with these Terms. Each user must access the Services through authorized means.
3.5 Temporary Access Changes
PeleDesk may temporarily modify, limit, or restrict access to certain features or portions of the Services for reasons including maintenance, upgrades, security concerns, compliance obligations, or technical issues.
3.6 Reservation of Rights
All rights not expressly granted to you under these Terms are reserved by PeleDesk. No implied licenses or rights are granted by implication, estoppel, or otherwise.
3.7 No Guaranteed Availability
While PeleDesk aims to provide reliable access, continuous or uninterrupted availability of the Services is not guaranteed. Access may be impacted by maintenance, updates, network conditions, or factors beyond PeleDesk’s control.
4. Prohibited Conduct and Misuse
4.1 General Prohibition
You agree to use the Services only in a lawful, authorized, and responsible manner. Any use of the Services that violates these Terms, applicable laws, or the rights of others is strictly prohibited.
4.2 Prohibited Activities
You may not, and may not permit others to:
4.2.1 Commercial Misuse
Sell, resell, sublicense, rent, lease, distribute, or commercially exploit the Services or any portion thereof without PeleDesk’s prior written consent.
4.2.2 Unauthorized Access and Reverse Engineering
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying structure, algorithms, or proprietary logic of the Services.
Competitive Use
Use the Services to develop, train, benchmark, or assist a competing product or service, or to replicate PeleDesk’s features, workflows, or functionality.
Security Circumvention
Circumvent, disable, interfere with, or bypass security features, authentication mechanisms, rate limits, access controls, usage restrictions, or protective measures implemented by PeleDesk.
System Interference
Interfere with or disrupt the integrity, performance, or availability of the Services, including through excessive usage, automated access, scraping, denial-of-service attacks, or similar activities.
Malicious or Harmful Content
Upload, transmit, store, or share content that is unlawful, infringing, defamatory, abusive, harassing, fraudulent, misleading, obscene, hateful, or otherwise harmful to individuals or organizations.
Infringement of Rights
Upload or distribute content that violates intellectual property rights, privacy rights, publicity rights, or other proprietary rights of any third party.
Unauthorized Data Use
Use the Services to collect, store, process, or distribute personal data in violation of applicable privacy or data protection laws.
4.3 Automated Use and Scraping
You may not use bots, scripts, crawlers, automated tools, or similar technologies to access, extract, or interact with the Services except as expressly permitted by PeleDesk.
4.4 Misrepresentation and Abuse
You may not misrepresent your identity, affiliation, or authority, or engage in deceptive, fraudulent, or abusive behavior when using the Services.
4.5 Compliance with Laws
You are solely responsible for ensuring that your use of the Services complies with all applicable local, state, national, and international laws, regulations, and industry standards.
4.6 Enforcement
PeleDesk reserves the right to investigate suspected violations of this Section and to take appropriate action, including suspension or termination of access, content removal, or other enforcement measures, as described in these Terms.
5. User Responsibilities and Security
5.1 Responsibility for Account Activity
You are responsible for all actions, activities, and usage that occur under your account, whether performed by you or by individuals you authorize to access the Services (“Users”). You agree to ensure that all Users comply with these Terms and applicable laws when using the Services.
PeleDesk is not responsible for any loss, damage, or liability arising from unauthorized or improper use of your account.
5.2 Authorization of Users
You are responsible for managing access to your account, including adding, removing, and assigning permissions to Users. You must ensure that only authorized Users have access to the Services and that access rights are appropriate to each User’s role.
You acknowledge that granting access to the Services is done at your own discretion and risk.
5.3 Account Security Obligations
You must safeguard all login credentials, passwords, access tokens, authentication keys, and other security mechanisms associated with your account. This includes taking reasonable measures to prevent unauthorized access, such as using strong passwords and enabling available security features.
You agree not to share credentials with unauthorized individuals or reuse credentials across multiple services where doing so may increase security risk.
5.4 Notification of Security Incidents
You must promptly notify PeleDesk if you become aware of any unauthorized access, suspected compromise, security breach, or misuse of your account or the Services. Failure to notify PeleDesk in a timely manner may increase risk and liability.
5.5 Responsibility for Submitted Data
You are solely responsible for the legality, accuracy, quality, and appropriateness of all data, content, information, and materials submitted to, stored in, or transmitted through the Services (“Customer Data”).
You represent and warrant that you have all necessary rights, permissions, and consents to submit Customer Data and to allow PeleDesk to process such data in accordance with these Terms and the PeleDesk Privacy Policy.
5.6 Data Integrity and Backup Responsibility
PeleDesk implements reasonable administrative, technical, and organizational safeguards to protect Customer Data. However, customers are responsible for maintaining their own backups of Customer Data. PeleDesk does not guarantee that Customer Data will be recoverable in all circumstances, including accidental deletion, system failures, or account termination.
5.7 Compliance with Internal Policies
You are responsible for ensuring that your use of the Services complies with your own internal policies, contractual obligations, and industry requirements, including policies related to data protection, confidentiality, and acceptable use.
5.8 No Circumvention of Safeguards
You may not attempt to bypass, disable, or interfere with security, access controls, authentication requirements, or usage limitations implemented by PeleDesk.
5.9 Consequences of Breach
Failure to comply with this Section may result in suspension, restriction, or termination of access to the Services, as described in these Terms, and may expose you to legal or contractual liability.
6. Content Management and Enforcement
6.1 Monitoring
PeleDesk does not actively monitor user content but reserves the right to review content for compliance.
6.2 Content Removal
We may remove, disable, or restrict access to content that violates these Terms, applicable law, or third-party rights.
6.3 Suspension and Termination
PeleDesk may suspend or terminate access, with or without notice, if:

6.3.3 Required by law or legal request
6.3.4 Continued use may cause harm
Where practicable, we will provide notice and an opportunity to cure.
7. Subscription Plans, Fees, and Billing
7.1 Paid Services
Some features require payment. Pricing, plan details, and limitations are disclosed at purchase.
7.2 Billing Authorization
You authorize PeleDesk to charge your payment method for applicable fees.
7.3 Automatic Renewal
Subscriptions renew automatically unless canceled prior to renewal.
7.4 Pricing Changes
We may change pricing or introduce new fees with reasonable advance notice.
7.5 Taxes
Fees exclude applicable taxes, which you are responsible for paying.
7.6 Refund Policy
All fees are non-refundable except where required by law or expressly stated.
8. Service Availability and Maintenance
8.1 Availability
We strive for reliable access but do not guarantee uninterrupted availability.
8.2 Maintenance and Updates
We may perform maintenance or updates that temporarily affect availability.
9. Customer Data and Privacy
9.1 Ownership of Data
You retain ownership of all data submitted to the Services (“Customer Data”).
9.2 Use of Data
Customer Data is used solely to provide, maintain, and improve the Services in accordance with the PeleDesk Privacy Policy.
9.3 Data Security
We employ reasonable safeguards to protect Customer Data, but no system is entirely secure.
10. Artificial Intelligence and Automation Features
10.1 AI-Assisted Functionality
Certain features of the Services may include automation or artificial intelligence–assisted capabilities.
10.2 No Reliance on AI Output
AI-generated outputs may be inaccurate, incomplete, or unsuitable for specific purposes and should be independently reviewed before use.
10.3 Modification or Discontinuation of AI Features
PeleDesk may modify, limit, suspend, or discontinue AI-assisted features at any time, with or without notice.
11. Third-Party Integrations
11.1 Third-Party Services
The Services may integrate with or allow access to third-party tools, platforms, or services.
11.2 Responsibility for Third-Party Services
Third-party services are provided under their own terms and privacy policies. PeleDesk does not control and is not responsible for the availability, functionality, content, or security of any third-party services.
12. Support and Assistance
12.1 Scope of Support Services
PeleDesk may provide technical support, customer assistance, documentation, knowledge base materials, and other resources related to use of the Services (“Support Services”). The availability, scope, and level of Support Services may vary based on subscription plan, account status, feature usage, or the nature of the request.
Support Services are intended solely to assist with general use of the Services and do not include consulting, customization, training, data recovery, or other professional services unless expressly agreed to in writing by PeleDesk.
12.2 Support Channels
Support Services may be provided through one or more channels, including email, in-application messaging, helpdesk systems, documentation, or other methods determined by PeleDesk from time to time. PeleDesk reserves the right to modify, suspend, or discontinue any support channels at its discretion.
12.3 No Guaranteed Response or Resolution Times
Unless expressly stated in a written service level agreement or applicable subscription plan, PeleDesk does not guarantee response times, resolution times, availability of specific support personnel, or the successful resolution of any reported issues.
Any response timeframes communicated by PeleDesk are estimates only and may vary based on factors such as issue complexity, system conditions, or request volume.
12.4 Support Limitations
Support Services do not cover issues arising from:
12.4.1 Third-party services, products, or integrations
12.4.2 User error, misuse, or unauthorized use of the Services
12.4.3 Modifications, customizations, or configurations not supported by PeleDesk
12.4.4 Network, hardware, or software environments outside PeleDesk’s control
PeleDesk is not responsible for diagnosing or resolving issues caused by external systems, environments, or third-party providers.
12.5 Maintenance and Updates
PeleDesk may perform scheduled or unscheduled maintenance, updates, upgrades, or improvements to the Services, which may temporarily affect availability or functionality. Where reasonably practicable, PeleDesk will use commercially reasonable efforts to provide advance notice of scheduled maintenance.
12.6 Suspension of Support
PeleDesk may suspend or limit Support Services if:
12.6.1 Your account is past due, suspended, or otherwise not in good standing
12.6.2 You are in violation of these Terms
12.6.3 Continued provision of Support Services would pose a security, legal, or operational risk
12.7 No Emergency or Mission-Critical Use
The Services and Support Services are not designed or intended for emergency, life-critical, or mission-critical purposes. PeleDesk disclaims any liability or responsibility for failures, interruptions, or errors arising from such use.
13. Intellectual Property Rights
13.1 Ownership of the Platform
All rights, title, and interest in and to the Services, including the Platform, software, source code, object code, algorithms, workflows, user interfaces, designs, templates, reports, documentation, audiovisual elements, and any related materials (collectively, the “Platform Materials”), are and shall remain the exclusive property of PeleDesk or its licensors.
Except as expressly stated in these Terms, nothing transfers any ownership or intellectual property rights in the Platform Materials to you. The Services are licensed, not sold.
13.2 Limited License to Use
Subject to these Terms and your continued compliance with them, PeleDesk grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for their intended purpose during the applicable subscription term.
Except as expressly permitted under these Terms, you may not copy, modify, distribute, publicly display, or create derivative works of the Platform Materials without PeleDesk’s prior written consent.
13.3 Reservation of Rights
All rights not expressly granted to you under these Terms are reserved by PeleDesk and its licensors. No licenses or rights are granted by implication, estoppel, or otherwise.
13.4 User Content and Data
As between you and PeleDesk, you retain all right, title, and interest in and to any data, content, or materials you submit to the Services (“Customer Data”). You grant PeleDesk a limited, non-exclusive right to host, process, transmit, and display Customer Data solely as necessary to provide, maintain, and operate the Services in accordance with these Terms and the PeleDesk Privacy Policy.
13.5 Feedback and Improvements
Any feedback, suggestions, or ideas you provide regarding the Services are governed by Section 20 (Feedback, Ideas, and Suggestions). PeleDesk may use such feedback without restriction, obligation, or compensation.
13.6 Trademarks
PeleDesk™, the PeleDesk logo, and any related names, logos, slogans, or branding elements are trademarks or service marks of Sunetos AI Technologies Inc. You may not use PeleDesk trademarks without PeleDesk’s prior written permission, except as permitted by applicable law.
All third-party trademarks, service marks, and logos appearing within the Services are the property of their respective owners and are used solely for identification purposes.
13.7 No Rights to Third-Party Intellectual Property
Nothing in these Terms grants you any right, title, or interest in or to any third-party intellectual property, except as expressly permitted under the applicable third-party terms.
13.8 Protection of Intellectual Property
You agree not to remove, alter, or obscure any proprietary notices, copyright notices, trademark notices, or other legal notices displayed in or on the Services.
Any unauthorized use of the Platform Materials may result in suspension or termination of access to the Services and may subject you to legal liability.
14. Copyright and DMCA Compliance
14.1 Copyright Protection
We respect intellectual property rights and expect users to do the same.
14.2 DMCA Notices
Claims of copyright infringement may be submitted in accordance with the Digital Millennium Copyright Act (DMCA), including all required information under applicable law.

15. Confidential Information
15.1 What Constitutes Confidential Information
For purposes of these Terms, “Confidential Information” means any non-public information disclosed by one party (“Disclosing Party”) to the other party (“Receiving Party”), whether orally, visually, electronically, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
Confidential Information includes, but is not limited to:
15.1.1 Business plans, strategies, and roadmaps
15.1.2 Technical information, software, source code, architecture, and system designs
15.1.3 Security practices and vulnerabilities
15.1.4 Customer, user, or usage information
15.1.5 Pricing, financial information, and commercial terms
15.1.6 Non-public product features and functionality
15.2 Handling of Confidential Information
The Receiving Party agrees to:
15.2.1 Protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care;
15.2.2 Use Confidential Information solely for purposes related to providing or using the Services under these Terms; and
15.2.3 Not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a legitimate need to know and are bound by confidentiality obligations no less restrictive than those contained in these Terms.
15.3 Permitted Disclosures
The Receiving Party may disclose Confidential Information to the extent required by law, regulation, or valid legal process, provided that, where legally permitted, the Receiving Party gives the Disclosing Party prompt notice of such requirement and reasonably cooperates in seeking protective treatment.
15.4 Exclusions from Confidential Information
Confidential Information does not include information that the Receiving Party can demonstrate:
15.4.1 Is or becomes publicly available through no breach of these Terms;
15.4.2 Was lawfully known to the Receiving Party prior to disclosure;
15.4.3 Is independently developed by the Receiving Party without use of or reference to the Confidential Information; or
15.4.4 Is rightfully received from a third party without restriction on disclosure.
15.5 Protection of User and Customer Data
Customer Data and personal information are treated as Confidential Information and are handled in accordance with these Terms and the PeleDesk Privacy Policy.
15.6 Survival of Confidentiality Obligations
The obligations set forth in this Section shall survive termination or expiration of these Terms for so long as the Confidential Information remains confidential.
15.7 Enforcement Measures
You acknowledge that unauthorized disclosure or misuse of Confidential Information may cause irreparable harm for which monetary damages may be insufficient. PeleDesk may seek equitable relief, including injunctive relief, in addition to any other remedies available at law.
16. Disclaimers
16.1 Services Provided “As Is” and “As Available”
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, PeleDesk disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
PeleDesk does not warrant that the Services will be uninterrupted, error-free, secure, or available at any particular time or location, or that defects will be corrected.
16.2 No Guarantee of Results or Outcomes
PeleDesk does not guarantee that use of the Services will result in any specific business outcomes, productivity improvements, cost savings, or performance results. Any reliance on the Services or any outputs generated through the Services is at your sole discretion and risk, and you are solely responsible for evaluating the suitability of the Services for your intended use.
16.3 No Professional Advice
Any information, insights, recommendations, reports, or outputs provided through the Services — including those generated by automation or AI-assisted features — are provided for general informational purposes only.
The Services do not provide legal, financial, medical, accounting, compliance, or other professional advice. You are solely responsible for consulting qualified professionals before making decisions based on information obtained through the Services.
16.4 Accuracy and Completeness of Information
While PeleDesk strives to provide useful and accurate information, we do not warrant or represent that any information or content made available through the Services is accurate, complete, current, or reliable. Information may be subject to errors, omissions, or delays.
16.5 Third-Party Information and Integrations
The Services may display, incorporate, or link to content or data from Third-Party Services. PeleDesk makes no warranties regarding the accuracy, availability, reliability, or security of such third-party content or services and disclaims all liability arising from their use.
16.6 Use at Your Own Risk
Your use of the Services is at your own risk. You are solely responsible for determining whether the Services are suitable for your intended use, including compliance with applicable laws, regulations, and internal policies.
16.7 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties. To the extent that such exclusions are not permitted by applicable law, the disclaimers in this Section shall apply to the maximum extent permitted.
17. Limitation of Liability
17.1 Excluded Damages
We are not liable for indirect, incidental, or consequential damages.
17.2 Liability Cap
Our total liability will not exceed fees paid in the twelve (12) months prior to the claim.
18. Indemnification
You agree to indemnify and hold harmless PeleDesk from claims arising from misuse of the Services or violation of these Terms.
19. Free, Trial, and Beta Services
19.1 Availability of Free and Trial Services
PeleDesk may offer certain features or versions of the Services at no charge, including free plans, trial periods, or limited-functionality offerings (“Free Services”). Free Services are provided to allow users to evaluate the Services and may be subject to usage limits, feature restrictions, or time constraints as described at the time of availability.
19.2 Beta and Experimental Features
From time to time, PeleDesk may make available experimental, preview, or beta features (“Beta Services”). Beta Services are provided for testing and evaluation purposes only and may not be fully tested, stable, or reliable.
19.3 No Service Commitments
Free Services and Beta Services are provided without any obligation to continue offering them and without any commitment regarding availability, performance, support, or future inclusion in paid plans.
19.4 No Warranties for Free or Beta Services
Free Services and Beta Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied. PeleDesk disclaims all warranties relating to Free Services and Beta Services, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.
19.5 Data Loss and Reliability Risks
You acknowledge that Free Services and Beta Services may be subject to interruptions, errors, data loss, or other issues. PeleDesk is not responsible for any loss of data, content, or functionality arising from your use of Free Services or Beta Services.
19.6 Modification or Discontinuation
PeleDesk may modify, suspend, or discontinue Free Services or Beta Services, in whole or in part, at any time, with or without notice. PeleDesk is not obligated to provide advance notice, migration assistance, or continued access to data associated with Free Services or Beta Services.
19.7 Limitation of Liability for Free and Beta Services
To the maximum extent permitted by law, PeleDesk shall have no liability arising out of or related to Free Services or Beta Services. Any use of Free Services or Beta Services is at your sole risk.
19.8 Transition to Paid Services
PeleDesk may, but is not required to, offer you the option to transition from Free Services or Beta Services to paid versions of the Services. Pricing, features, and terms applicable to paid Services may differ from those applicable to Free Services or Beta Services.
20. Feedback, Ideas, and Suggestions
20.1 Voluntary Submission of Feedback
From time to time, you or your Users may submit feedback, ideas, suggestions, feature requests, improvements, comments, or other input regarding the Services (collectively, “Feedback”). Submission of Feedback is entirely voluntary and provided at your discretion.
20.2 No Obligation to Implement Feedback
PeleDesk has no obligation to review, consider, implement, or respond to any Feedback. Any decision to use or not use Feedback is made solely at PeleDesk’s discretion.
20.3 Grant of Rights in Feedback
By submitting Feedback, you grant PeleDesk a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and incorporate such Feedback into the Services or any other products or services, without compensation or attribution to you.
20.4 No Expectation of Confidentiality
Feedback is not considered confidential information. You agree that PeleDesk may use Feedback without any obligation of confidentiality, restriction, or compensation.
20.5 No Ownership or Compensation Claims
You acknowledge and agree that you will not be entitled to any ownership rights, intellectual property claims, compensation, royalties, or other consideration as a result of PeleDesk’s use of Feedback, even if such Feedback is incorporated into the Services or contributes to the development of new features or products.
20.6 Independent Development
Nothing in these Terms restricts PeleDesk from developing features, functionality, or products that are similar or identical to Feedback provided by you, whether or not such development is based on Feedback.
20.7 Attribution
PeleDesk is not required to credit or acknowledge you as the source of any Feedback, unless expressly agreed in writing.
21. Security Tools and reCAPTCHA
The Services are protected by security tools, including Google reCAPTCHA, subject to Google’s Privacy Policy and Terms of Service.
22. Legal Framework and Changes
22.1 Governing Law
These Terms are governed by the laws of the State of California.
22.2 Changes to Terms
We may update these Terms from time to time. Continued use constitutes acceptance.
